SECP Sets October 28, 2026 Deadline for Companies to Hold AGMs


ISLAMABAD: The Securities and Exchange Commission of Pakistan (SECP) has advised companies with a financial year ending on June 30, 2026, to conduct their Annual General Meetings (AGMs) by October 28, 2026. The directive also includes the completion of Annual Return and Ultimate Beneficial Ownership (UBO) filings.



According to Securities and Exchange Commission of Pakistan, the companies are required to hold their AGMs within 120 days following the close of their financial year. After the AGM, companies must file Form A if there are changes in particulars, while Form 24 is needed if there are no changes from the last Annual Return. Single-member companies and private companies with a paid-up capital of not more than Rs. 3 million are exempt from filing an Annual Return if there are no changes in particulars from their previous return.



Additionally, companies are mandated to fulfill their annual UBO requirements, which include issuing necessary notices, obtaining declarations and updates, maintaining the UBO Register, and filing Form-19 with the Registrar alongside their Annual Return. If an Annual Return is not required, Form-19 must be filed within 30 days of the end of the calendar year.
