SECP Takes Regulatory Action on SE Fruits IPO Disclosures, Seeks Enhanced Audit Oversight

ISLAMABAD: The Securities and Exchange Commission of Pakistan (SECP) is taking regulatory action due to significant discrepancies found in the initial public offering (IPO) prospectus of SE Fruits and Vegetable Limited. This decision follows issues identified in the company’s audited financial statements, leading to the suspension of further proceedings in the book building process to safeguard investors.

According to Securities and Exchange Commission of Pakistan, SE Fruits chose to voluntarily withdraw the IPO with plans to resubmit it later, incorporating improved disclosures. Subscription funds have been refunded to investors. For companies intending to raise funds through an IPO, it is imperative to provide transparent financial records and business disclosures, which are then audited by external auditors. The consultant to the issue is responsible for conducting due diligence and preparing the draft prospectus, which is reviewed by the Pakistan Stock Exchange (PSX) listing committee, allowing for public feedback. Once these steps are completed, and any observations addressed, SECP makes a decision on the prospectus, which is then published on the PRIDE platform before the bookbuilding process begins.

Under the Securities Act, 2015, fraudulent inducement of securities transactions and making false or misleading statements are criminal offenses. SECP is currently reviewing the SE Fruits IPO to identify procedural irregularities and determine appropriate actions for any violations.

The case underscores the necessity to fortify the Audit Oversight Board (AOB). SECP has stressed the importance of aligning its legal framework with international standards and IFIAR principles. Globally, auditors play a crucial role in maintaining financial integrity, and SECP emphasized that the AOB should be empowered with effective inspection and enforcement capabilities, adequate technical resources, and stable funding.
